LEGAL DISCLAIMER & NON-LIABILITY AGREEMENT

Effective as of the date of engagement with Holt Solutions and its services.

This Legal Disclaimer and Non-Liability Agreement (“Agreement”) is entered into between the undersigned client (“Client”) and Holt Solutions, including its affiliates, contractors, employees, agents, representatives, subsidiaries, partners, and all entities operating under its DBA (Doing Business As) names (collectively referred to as “Holt Solutions”).

By engaging in any service, communication, consultation, or transaction with Holt Solutions, the Client agrees to the following terms in full:

1. No Legal, Medical, or Financial Advice

Holt Solutions does not provide legal, medical, psychological, or financial advice. All services, guidance, or communications provided by Holt Solutions are for educational, personal development, or informational purposes only and should not be relied upon as a substitute for professional counsel from licensed advisors in the appropriate field.

The Client acknowledges that all decisions made based on any interaction with Holt Solutions are made at their own discretion and risk.

2. Non-Liability Clause

The Client agrees that Holt Solutions shall not be held liable, under any theory of law or equity, for any direct, indirect, incidental, consequential, or special damages, including (but not limited to) emotional distress, business disruption, personal or financial loss, or other consequences arising out of or in connection with:

  • The use or misuse of advice or information provided;

  • Participation in any service, session, or consultation;

  • Reliance on any information shared by Hope Solutions, its agents, or affiliates.

This clause applies regardless of whether such liability arises in tort, contract, negligence, strict liability, or otherwise.

3. Confidentiality Agreement

The Client agrees to maintain strict confidentiality regarding any non-public information, processes, materials, or methodologies disclosed by Holt Solutions during the course of any service or communication.

The Client shall not record, share, distribute, publish, or disclose such information without prior written consent from Hope Solutions.

4. Non-Defamation, Non-Slander, and Non-Gossip Clause

The Client agrees to refrain from making any false, defamatory, disparaging, or slanderous statements—either orally, in writing, or via digital or social media platforms—about Holt Solutions, its owners, employees, services, business practices, or affiliates.

This includes:

  • Public complaints without prior attempt at private resolution.

  • Social media posts, online reviews, or commentary intended to harm the company’s reputation.

  • Sharing misinformation or misrepresentations to third parties.

Violation of this clause may result in legal action for damages, including but not limited to defamation, business interference, and breach of agreement.

5. Indemnification

The Client agrees to indemnify, defend, and hold harmless Holt Solutions and all of its affiliates and representatives from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • The Client’s use or misuse of services;

  • Any breach of this Agreement;

  • Any third-party claims arising out of the Client’s actions, representations, or omissions in connection with Holt Solutions.

6. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the services provided:

  • The parties agree to first attempt resolution through good faith negotiation.

  • If unresolved, the matter shall be submitted to confidential binding arbitration in accordance with the laws of ARNA {Aboriginal Republic of North America}.

  • The arbitration shall be conducted in accordance with the laws of ARNA {Aboriginal Republic of North America}.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of ARNA {Aboriginal Republic of North America}. Any legal action shall be filed exclusively within that jurisdiction.

8. Severability

If any provision of this Agreement is deemed to be unlawful, void, or unenforceable for any reason, that provision shall be severed, and the remainder of the Agreement shall remain valid and enforceable.

9. Entire Agreement

This Agreement constitutes the entire understanding between the Client and Holt Solutions regarding the subject matter herein and supersedes all prior oral or written agreements, representations, or understandings.

10. Modification Clause

This Agreement may only be modified or amended in writing, signed by both parties. No verbal agreement or informal communication shall serve to alter the terms herein.

11. Waiver Clause

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of any right or provision, nor shall it affect the validity or enforceability of this Agreement or any of its terms.

Acknowledgment and Acceptance

By signing below or submitting payment, the Client confirms that they have read, understood, and agreed to the terms of this Legal Disclaimer and Non-Liability Agreement. This agreement is binding and enforceable.
